Terms and conditions

These are the terms we work under, written plainly. They are a working draft for a US-based agency: have a lawyer in your state read them, and fill in every underlined field, before you rely on them.

1. What these terms cover

These terms apply to search engine optimisation, content and link acquisition services supplied by SEOFORHVACBUSINESS to a business client. They form the agreement between us together with the written proposal we send you after the audit. Where the proposal and these terms disagree, the proposal wins.

Using this website is also covered. Nothing on it is a fixed offer, and the numbers in our case studies describe past work, not a forecast of yours.

2. What the retainer covers

The proposal lists the work by name: pages written, profiles managed, links acquired, technical fixes, and reporting. Anything not listed is out of scope until we agree it in writing.

We may substitute one activity for another of equal value where the account calls for it. We will tell you before we do, not after.

3. Audits and quotes

The audit is free, and it is yours. We do not charge for it, we do not require you to hire us, and you may share it with anyone including another agency.

A quote holds for 30 days. After that we may requote, because the competitive picture in your metro will have moved.

4. Term, notice and cancellation

The initial term is 90 days. It exists because the work does not produce a fair signal in less time. After that the engagement is month to month.

Either side may end it with 30 days written notice. We will finish the month you have paid for, hand over every asset and access credential, and not hold work hostage. If you cancel inside the initial term, the remaining months of that term are payable.

  • No auto-renewing annual lock-in.
  • No cancellation fee beyond the initial term.
  • Handover within five business days of the final paid day.

5. Fees and payment

Retainers are billed monthly in advance. Fixed-price link packages are billed on order. Invoices are due on receipt unless the proposal states otherwise, and work may pause on accounts more than 15 days overdue.

Third-party costs are separate and always quoted before they are incurred: paid directory listings, stock imagery, hosting, call tracking, and any tool licensed in your name.

  • Prices are in US dollars and exclude applicable sales tax.
  • We give 30 days notice of any change to your retainer.
  • Refunds are not issued for time already worked, because the work is not returnable.

6. What we need from you

The work stalls without three things: access to the website and Google Business Profile, a single person who can approve copy, and answers on jobs and pricing when we ask.

If approvals sit for more than 15 business days we will publish nothing and the month is still billable. We will chase you first, in writing, twice.

7. Who owns the work

You do. Every page, image, profile, listing and link we produce for you is yours on payment, including if we part ways. Accounts are created in your name wherever the platform allows it.

We keep the right to describe the work in general terms as a case study, without naming you or your figures, unless you ask us not to. Ask and we will not.

8. What we do not promise

No agency controls search results, and anyone selling a guaranteed position is selling something they cannot deliver. We do not promise a ranking, a traffic figure, a call volume or a revenue number, and we will not sign a contract that says we do.

What we do commit to is the work itself, delivered as listed, reported honestly, including the months where nothing moved.

9. Platforms outside our control

Google, Bing and the assistant products change their rules without notice, and profiles are occasionally suspended for reasons no one can see. We will fix what can be fixed and tell you plainly when something cannot. Time spent on a platform's error is part of the retainer, not an extra.

10. Confidentiality and exclusivity

Anything you tell us about your pricing, margins, close rates or plans stays between us, and we will sign your NDA if you have one.

We take one residential HVAC contractor per metro. While you are a client we will not take a direct competitor in your service area, and if you leave we will wait 60 days before we do.

11. Limitation of liability

Our total liability under this agreement is limited to the fees you paid in the three months before the claim. Neither side is liable for lost profit, lost revenue or indirect loss. Nothing here limits liability for fraud or anything else the law will not let us limit.

12. Governing law

This agreement is governed by the laws of the State of Texas, and any dispute is heard in the courts of that state. Before either of us files anything, we agree to spend 30 days trying to sort it out by phone.

13. Changes to these terms

We may update these terms for new clients at any time. Your terms are the version in force when you signed, and we will not change them mid-engagement without your written agreement. The effective date at the top shows the current version.
